1. Acceptance of Terms

By downloading, accessing, or using the WrappYoo mobile app (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. WrappYoo is operated by WrappYoo, a company incorporated in Hong Kong SAR.

2. Description of Service

WrappYoo lets you upload photos of your vehicle and generates an AI video visualization of that vehicle with a wrap/design applied. The Service relies in part on a third-party AI video-generation provider to produce this output (see Section 9).

WrappYoo also operates as a marketplace connecting you with independent, third-party Wrap Shops who can print your approved design and professionally install it on your vehicle. When you place an order for installation, WrappYoo facilitates the transaction between you and the Wrap Shop but is not itself the party performing the printing or installation (see Section 9a).

3. Eligibility & Accounts

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Your Content & the License You Grant Us

You retain ownership of the photos you upload and, subject to Section 9, the videos generated from them. By uploading content, you grant WrappYoo a limited, worldwide, royalty-free license to host, process, and transmit that content solely as necessary to (a) generate your visualization, (b) provide customer support, (c) maintain and improve the Service (e.g., troubleshooting a failed generation), and (d) where you place an installation order, share your approved design and relevant order details with the assigned Wrap Shop solely to fulfill that order (see Section 9a). WrappYoo does not use your uploaded photos or generated videos for marketing or promotional purposes without your separate, explicit opt-in consent.

5. Acceptable Use Policy

When you upload content to WrappYoo, you agree that you will not upload content that:

●       Depicts any person other than yourself, without that person's consent

●       Shows a vehicle you do not own or do not have permission to use for this purpose

●       Contains nudity, sexually explicit material, or graphic violence

●       Is hateful, harassing, or promotes illegal activity

●       Infringes someone else's copyright, trademark, or other intellectual property (for example, wrap designs, logos, or advertising material you don't have rights to)

●       Depicts a minor

●       Contains a government-issued ID, passport, or other sensitive personal document

Uploads that violate this policy may be automatically or manually rejected, and repeated violations may result in suspension or termination of your account.

5a. A Special Case: Third-Party Branded or Promotional Material

Not every flagged upload is incidental (like a stranger's face caught in the background of your own photo). Some uploads are a deliberate attempt to have someone else's professional advertising, signage, or marketing material — often featuring a professional model, another business's logo, contact details, or a QR code — reproduced as a vehicle wrap design.

This is handled differently from incidental background information:

●       The design itself is normally owned by the business that commissioned it, not the person uploading the photo.

●       Any professional model shown retains publicity/likeness rights that don't transfer just because the finished material was photographed.

●       Automated blurring does not resolve this case, since the design is the entire point of the upload.

Uploads that combine a real person's likeness with signs of professional marketing material are rejected outright, and you may be asked to confirm you own the rights to the artwork before any resubmission is considered.

6. Content Moderation & Enforcement

WrappYoo uses a combination of automated screening and manual review to detect content that violates Section 5, including:

●       Automated face and license-plate detection/blurring on every upload

●       Independent safety screening performed by our third-party AI video-generation provider

●       Manual review of content reported by users or flagged by automated systems

●       Two distinct tracks for uploads containing a real person's likeness: incidental background information is auto-redacted and reprocessed; uploads that appear to be professional marketing or branded material are rejected outright and routed to manual review

If content is found to violate these Terms, we may remove it, decline to process it, and — for repeated or serious violations — suspend or terminate the associated account.

7. Reporting Objectionable Content

If you encounter content on WrappYoo that you believe violates these Terms, report it by contacting info@wrappyoo.com. We aim to review reports within 5 business days and take appropriate action, which may include content removal or account suspension. If you believe your content was removed in error, you may appeal by replying to the same address.

8. Intellectual Property

The WrappYoo app, including its branding, design, and underlying software (excluding your own uploaded and generated content), is owned by WrappYoo and protected by intellectual property laws. You may not copy, modify, or reverse-engineer the app except as permitted by law.

9. Third-Party Services & AI Provider Disclaimer

The Service depends on a third-party AI video-generation provider to produce visualizations. That provider applies its own independent content-safety checks and may decline to process an upload for reasons outside WrappYoo's control. WrappYoo is not responsible for the availability, accuracy, or output quality of third-party AI processing. Generated videos are provided "as is" for visualization purposes only — they are a design aid, not a guarantee of how an actual physical wrap installation will look, and should not be relied upon as the sole basis for a purchasing decision.

9a. Marketplace Role & Independent Wrap Shops

When you order a physical wrap installation through the Service, WrappYoo acts solely as an intermediary connecting you with an independent Wrap Shop to print and apply your design — similar to how other marketplace platforms connect buyers with independent service providers. Wrap Shops are independent third-party businesses; they are not employees, agents, franchisees, or partners of WrappYoo, and WrappYoo does not control the manner in which they perform installation work. (See the separate WrappYoo Wrap Shop Partner Agreement.)

●       No warranty on installation quality. WrappYoo does not itself print or install any wrap and does not currently offer a platform-backed guarantee on installation quality. WrappYoo disclaims liability for the quality, durability, or workmanship of any installation performed by a Wrap Shop. Any warranty on the physical product or installation is provided by the Wrap Shop directly.

●       Vetting. WrappYoo may apply onboarding criteria to Wrap Shops (e.g., licensing, insurance) but does not guarantee the work of any Wrap Shop and is not responsible for verifying every job.

●       Your design file. The AI-generated design you approve is licensed to the assigned Wrap Shop solely to fulfill your specific order. The Wrap Shop may not reuse, resell, or redistribute your design for any other purpose.

●       Disputes between you and a Wrap Shop. Contact us at info@wrappyoo.com to raise a dispute about a completed or in-progress order. WrappYoo will review disputes in good faith and may, at its discretion, mediate between you and the Wrap Shop, but does not guarantee a particular outcome.

9b. Payments

Payments for wrap installation orders are processed through Stripe, using Stripe Connect. Under this structure, Stripe — not WrappYoo — holds and moves customer funds, which is the standard approach used by marketplace platforms such as Etsy, Grab, and DoorDash.

WrappYoo charges a service fee, which is deducted from the Wrap Shop's payout rather than added to your displayed price at checkout. Refund and cancellation terms for installation orders are set out in a separate Refund Policy.

9c. Design Marketplace — Purchasing Artist Designs

In addition to using your own uploaded photos, you may purchase wrap designs created by independent third-party artists ("Artists") through the Service. When you purchase a design:

●       You receive a limited license to have that design applied to your own vehicle via the AI visualization tool and, if you place an installation order, printed and installed by a Wrap Shop for that specific vehicle.

●       Designs are generally offered on a non-exclusive basis, meaning the same design may also be purchased and used by other customers.

●       You do not receive ownership of the underlying design, and may not redistribute, resell, or use it for any purpose beyond your own vehicle wrap order.

●       Designs remain the intellectual property of the Artist who created them. WrappYoo, and any Wrap Shop fulfilling your order, receive only the limited rights necessary to generate your visualization and produce your physical wrap.

Artist-submitted designs are subject to the same content standards as user uploads (Section 5). Artists represent that their designs do not infringe third-party rights or depict real people without consent — see the WrappYoo Artist Partner Agreement for the underlying warranties and how infringement claims are handled.

10. Fees

The core visualization feature is currently free to use. This section does not cover marketplace order payments, which are addressed separately in Section 9b. If WrappYoo introduces paid subscriptions or in-app purchases in the future, this section will be updated accordingly, along with the applicable Apple App Store and Google Play refund policies for such purchases.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, WrappYoo will not be liable for indirect, incidental, or consequential damages arising from your use of the Service.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, including the Acceptable Use Policy in Section 5. You may stop using the Service and delete your account at any time.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved through arbitration administered by the Hong Kong International Arbitration Centre (HKIAC), except where mandatory local consumer-protection law in your jurisdiction requires otherwise, in which case that local law will apply to the extent required.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. For material changes, we will provide additional notice via in-app notification or email.
